Terms of Service

These Terms of Service ("Terms") govern your use of the website and services provided by Deskbell Inc. ("Deskbell", "we", "us"). By using our website or engaging our services, you agree to these Terms. The specific scope, fees, and service levels for a paid engagement are set out in a separate order form or service agreement, which prevails over these Terms if there is a conflict.

The service

Deskbell designs, builds, and operates AI phone agents that answer calls, book appointments, capture leads, and route conversations on behalf of a client's business. Details of what an agent does are configured with each client. We may improve, modify, or discontinue features over time.

Client responsibilities

You are responsible for using the service lawfully, for providing accurate information used to configure your agent, and for ensuring any notice or consent required in your jurisdiction for call handling and recording is in place. You are responsible for how you use the leads and information the agent delivers to you, and for your own compliance with laws that apply to your business.

Acceptable use

You may not use the service to make unsolicited automated marketing or solicitation calls, to harass or deceive, to violate telecommunications or privacy laws, or for any unlawful purpose. Deskbell agents are inbound assistants; the service is not to be used for automated outbound cold calling.

Fees and billing

Fees, including any one-time setup fee and recurring monthly charges, are set out in your service agreement. Unless stated otherwise, fees are exclusive of applicable taxes, are billed in advance for each period, and are non-refundable except where required by law.

Service availability

We work to keep the service reliable and monitored, but we do not guarantee uninterrupted or error-free operation. The service depends on third-party telephony, cloud, and AI providers whose availability is outside our control. Any service-level commitments, if offered, are stated in your service agreement.

AI limitations

AI agents can make mistakes, mishear, or handle an edge case imperfectly. Agents are configured with escalation paths for calls that need a person, but you should not rely on the service as the sole channel for emergencies or for time-critical or safety-critical matters.

Intellectual property

Deskbell retains all rights in its software, tooling, and methods. You retain rights in your own business content and data. You grant us the limited rights needed to configure and operate your agent and to provide the service.

Confidentiality

Each party will protect the other's non-public information and use it only to provide or receive the service. Our handling of personal information is described in our Privacy Policy.

Disclaimers

The service and website are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Nothing on this website is legal, medical, or professional advice.

Limitation of liability

To the fullest extent permitted by law, Deskbell will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost business, arising from the service. Our total liability for any claim relating to the service will not exceed the amounts you paid us for the service in the three months before the claim arose.

Indemnification

You agree to indemnify Deskbell against claims arising from your use of the service in breach of these Terms or applicable law, including claims relating to consent, recording, or how you use information the agent delivers to you.

Termination

Either party may terminate an engagement as set out in the service agreement. On termination, your right to use the service ends, and we will handle any remaining data in accordance with our Privacy Policy and the service agreement.

Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of British Columbia have jurisdiction over any dispute, subject to any dispute-resolution terms in your service agreement.

Changes to these Terms

We may update these Terms from time to time. Continued use of the service after an update means you accept the revised Terms.
